Important payment and refund terms
Once you approve the project scope and price, a 50% advance is required before work begins. If Softnex materially fails to deliver the agreed core project because of a failure attributable to Softnex, the qualifying refund described in Section 8 is 100% of all amounts you actually paid Softnex for that project. After the agreed scope has been delivered, fees are generally non-refundable, subject to mandatory legal rights and express written commitments.
1. About these Terms and acceptance
These Terms & Conditions ("Terms") apply to your access to the Softnex Technologies website, your use of its public forms, and discussions or projects for software and technology services offered by Softnex Technologies ("Softnex", "we", "us", or "our"). The website may describe services including website development, web applications, mobile applications, SaaS products, custom software, AI solutions, automation, APIs, backend and database engineering, maintenance, and technical consulting.
By using the website, submitting an enquiry, or accepting a project proposal, you agree to the Terms that apply to that activity. Submitting an enquiry alone does not require either party to accept a project. If you act on behalf of a business or organisation, you confirm that you are authorised to do so.
A quote, proposal, statement of work, invoice, signed contract, or other written project confirmation accepted by both parties is referred to as the "Project Agreement". It should state the specific deliverables, scope, price, milestones, schedule, payment plan, dependencies, exclusions, and any special warranty or support commitments. The Project Agreement controls project-specific details where it expressly differs from these general Terms. Applicable non-waivable legal rights remain unaffected.
2. Services, quotes, and project scope
Softnex may provide discovery and technical planning; website and web application development; mobile applications; SaaS platforms; custom software; APIs and integrations; AI-enabled products; workflow automation; backend, database, and infrastructure work; deployment; maintenance; and consulting. A service is included in your project only if it appears in the accepted Project Agreement.
Website descriptions, demonstrations, sample concepts, case studies, and general discussions are informational. They are not a guarantee that a particular feature, integration, business result, technology, app-store approval, or delivery date is available for every project. Any project-specific commitment must be confirmed in writing by Softnex.
A quotation is based on the information available when it is prepared and may need to be revised if requirements, integrations, assumptions, dependencies, or deliverables change before acceptance. Unless a quote states otherwise, it is not binding until accepted by both parties in writing.
The agreed scope is the written list of deliverables and exclusions in the Project Agreement. Extra pages, modules, integrations, reports, content entry, revisions, migration work, support, or features not listed there are change requests. Softnex will explain the likely price and schedule impact and obtain written approval before undertaking chargeable additional work.
3. Project approval and communications
The client should review and approve the project scope, assumptions, milestones, and price before work begins. Approvals and material changes should be recorded by signed document, email, or another written channel accepted by both parties. Informal conversations do not change the agreed scope unless the change is confirmed in writing.
Softnex may ask clarification questions, run discovery, assess feasibility, or decline a project that cannot reasonably be delivered, appears unlawful, infringes another person's rights, or conflicts with Softnex's capabilities or policies. Any paid discovery or preliminary work must be identified in the applicable quote or Project Agreement.
4. Prices, the 50% advance, and payment terms
50% advance before work starts. After you approve the project scope and total quoted project fee, you must pay 50% of that fee as an advance. Softnex will not be required to begin the development or implementation work until the advance has cleared into a payment account officially designated by Softnex.
The remaining balance, instalments, milestone payments, and due dates must be set out in the accepted Project Agreement or confirmed in writing before the relevant payment becomes due. The client must pay each instalment in accordance with that schedule. Where the Project Agreement makes final payment a condition of handover, production deployment, source-code release, or transfer of administrative access, Softnex may withhold that step until payment clears, to the extent permitted by law.
Quotes and invoices should identify the currency, applicable taxes, third-party charges, and payment deadlines. Unless stated otherwise in writing, the client is responsible for applicable taxes and separately charged third-party expenses. If a payment is overdue, Softnex may give written notice and pause affected work until payment is received; the project schedule may be adjusted for the delay and its reasonable consequences.
Make payments only to a bank account, payment link, or other method officially identified in a Softnex invoice or written payment instructions. Do not pay a sales partner or agent into a personal account. A payment is treated as received when it is successfully credited to the designated Softnex account. Keep your payment receipt or transaction reference.
5. Client responsibilities
You must provide accurate requirements, content, branding assets, technical information, access, feedback, approvals, and other materials reasonably needed to complete the project. You must have the rights and permissions necessary for Softnex to use any materials, data, images, code, logos, or instructions you provide.
You are responsible for reviewing deliverables, making decisions within reasonable agreed timeframes, identifying a person authorised to approve work, securing your own accounts, and retaining appropriate backups of your business data unless backup services are expressly included. You must not provide passwords, one-time codes, payment-card security codes, or other unnecessary sensitive information through a general enquiry form.
If missing information, delayed approvals, inaccessible third-party systems, late payments, or changes in instructions prevent progress, the parties will discuss a revised schedule. Additional work or costs must be explained and confirmed in writing before they are charged, subject to the Project Agreement and applicable law.
6. Timelines, dependencies, and changes
Delivery dates and milestone dates are those stated in the Project Agreement. If a date is described as an estimate, it is an estimate rather than a guaranteed deadline. The agreed schedule may depend on client inputs, approvals, payment, testing, and services provided by third parties, such as hosting companies, domain registrars, payment gateways, API providers, app stores, or cloud platforms.
If a material issue risks affecting the timeline, the parties should communicate in writing and agree a practical next step. A requested change to scope, technical approach, or deliverables may affect both fees and schedule. Softnex will not treat a new feature as part of the original scope unless the parties confirm it in writing.
7. Delivery, review, and defects
"Delivery" means making the agreed deliverables available in the manner specified by the Project Agreement. Depending on the project, this may mean providing a live website or application, a staging build, a downloadable package, agreed source files, documentation, or access credentials. The precise delivery criteria should be defined in the Project Agreement.
You should review and test the deliverables promptly and report in writing any reproducible issue that materially prevents them from matching the agreed written scope. Please describe the affected feature, expected behaviour, actual behaviour, and steps to reproduce the issue where practical. A preference change, additional feature, revised business requirement, or request outside the agreed scope is not by itself proof that the original project was not delivered.
Any included testing, warranty, defect-correction window, acceptance period, or ongoing support will be as written in the Project Agreement. If no special period is agreed, the parties will address any reported material mismatch in good faith under the agreed scope and applicable law; these Terms do not promise an unlisted lifetime or fixed-duration support service.
8. Refunds, non-delivery, and cancellation
8.1 — Full 100% refund if Softnex fails to deliver the agreed project. If Softnex materially fails to deliver the core website, app, software module, or other product expressly included in the accepted Project Agreement, for reasons attributable to Softnex, and you have met your payment and cooperation obligations, you may send written notice describing the non-delivery. If Softnex confirms that it cannot deliver the agreed core scope, or the failure remains unresolved after a reasonable written opportunity to resolve it, you may terminate the affected project and receive a refund of 100% of all amounts you actually paid Softnex for that project. No unpaid project balance is due for the undelivered project scope, subject to any legally permitted adjustment required by the specific circumstances.
A qualifying refund covers payments actually received by Softnex for the affected project. It does not automatically cover amounts you paid directly to unrelated third parties, such as a domain registrar, hosting provider, app store, or third-party software vendor, unless Softnex received those funds and is required to refund them. An approved refund will be sent to the original payment method where reasonably possible within the period required by law or, if no period applies, within a reasonable time after the refund amount and eligibility are confirmed. Payment-provider processing times may vary.
A delay caused by missing client materials, delayed approvals, overdue client payments, client-requested scope changes, client breach, or a third-party event outside Softnex's reasonable control does not automatically establish a Softnex-caused delivery failure. The parties will discuss the circumstances, any reasonable schedule adjustment, and available remedies. This clause does not remove a right to a remedy where applicable law provides otherwise.
8.2 — After delivery. Once the agreed project scope has been delivered in accordance with the Project Agreement, Softnex's standard policy is that project fees are non-refundable. Ordinary reasons such as a change of mind, a business decision not to use the product, unused features, or a later preference change do not ordinarily qualify for a refund. This policy does not exclude rights that cannot lawfully be excluded, an express written refund commitment, or a remedy for a legally recognised failure to meet the agreed obligations.
8.3 — Client cancellation before delivery. If you cancel for a reason other than a qualifying Softnex delivery failure, notify Softnex in writing. The parties will reconcile the work completed, approved milestone charges, committed third-party expenses, and payments already made under the Project Agreement and applicable law. Softnex will not rely on this clause to retain an amount that it is legally required to return.
8.4 — How to request a refund. Contact contact@softnex.online and include your name, project or invoice reference, proof of payment, a description of the delivery issue, and the outcome you are seeking. Softnex may request reasonable information needed to verify the project and payment. Requests will be assessed against the Project Agreement, these Terms, and applicable law.
9. Intellectual property and handover
You retain rights in materials you owned before the project and provide to Softnex. You grant Softnex a limited permission to use those materials as reasonably necessary to perform the agreed services. You are responsible for having permission to provide those materials and instructions.
Ownership or licensing of project-specific code, designs, documentation, content, and other deliverables should be stated in the Project Agreement. Unless that agreement says otherwise, and subject to full payment of all sums due, ownership of bespoke deliverables created specifically for you will transfer to you to the extent legally transferable. Until payment clears, Softnex may withhold handover steps that are expressly tied to payment in the Project Agreement, to the extent permitted by law.
Softnex retains ownership of its pre-existing tools, reusable libraries, templates, methods, know-how, development processes, and components not created exclusively for your project. Open-source and other third-party components remain subject to their own licences; they are not transferred free of those conditions. Any special source-code escrow, exclusive ownership, third-party licence, or ongoing licence arrangement must be agreed in writing.
Softnex will not publish your confidential project information, name, logo, screenshots, or work as a public case study without your permission, except where disclosure is required by law or you have separately authorised that use.
10. Hosting, domains, app stores, and third-party services
Domains, hosting, cloud infrastructure, email providers, payment gateways, maps, analytics, AI APIs, app stores, plugins, stock media, and other third-party services may have separate fees, licence terms, limits, approval requirements, and service interruptions. Unless the Project Agreement expressly includes them, these costs are separate from Softnex's development fee and may need to be purchased or maintained by you.
Softnex does not control third-party providers and cannot guarantee their continued availability, pricing, security, approval decisions, or future compatibility. Softnex will use reasonable care when implementing a third-party integration included in scope. A third-party decision or failure does not by itself establish that Softnex failed to perform its own agreed work.
11. Maintenance, support, and security
Ongoing maintenance, hosting management, backups, monitoring, updates, support, feature enhancements, and service-level commitments are included only if stated in the Project Agreement or a separate maintenance agreement. Otherwise, they may be quoted separately.
Software can require updates as browsers, operating systems, dependencies, third-party APIs, and security requirements change. Unless expressly agreed in writing, Softnex does not promise uninterrupted availability or that software will remain compatible with every future service or device. You are responsible for protecting your accounts, controlling authorised users, and maintaining backups where those services are not included in the agreed scope.
12. Client content and acceptable use
You must not use Softnex services to build, host, integrate, or distribute material or functionality that is unlawful, fraudulent, harmful, security-compromising, or infringing of another person's rights. You are responsible for the legality and accuracy of content and data you supply and for obtaining any required consent, licence, authorisation, or notice relating to those materials.
You must not attempt unauthorised access to Softnex systems, interfere with the website, introduce malicious code, misuse other users' information, or use the website in breach of applicable law. Softnex may decline or pause work that reasonably appears unlawful, unsafe, infringing, misleading, or materially outside scope. Any cancellation or financial reconciliation remains subject to the Project Agreement and applicable law.
13. Confidentiality
Each party may receive non-public business, technical, financial, security, or personal information from the other. The receiving party will use reasonable care to protect it and will use it only for the relevant enquiry or project. Confidential information may be shared with personnel or service providers who need it for the agreed purpose and are subject to appropriate confidentiality obligations.
Confidentiality restrictions do not apply to information that becomes public without a breach, was already lawfully known, is independently developed without use of confidential material, is lawfully received from another source, or must be disclosed by law. Where a project requires a separate non-disclosure agreement or additional security terms, the parties should execute those terms before sharing the relevant information.
14. Privacy and personal information
When you submit a quote request, contact message, or partner application, Softnex may collect details such as your name, business name, phone number, email address, city, project requirements, service type, budget range, preferred contact time, business experience, and information you choose to provide. We use that information to respond to you, review the enquiry or application, prepare proposals, manage client and partner relationships, protect our systems, maintain business records, and meet applicable legal obligations.
Relevant information may be shared with authorised team members, hosting and communications providers, approved technology vendors, professional advisers, payment providers where needed, or public authorities where legally required. Softnex does not sell personal information as a business practice. We take reasonable measures to protect information, but no internet transmission or storage system can be guaranteed completely secure.
Please do not submit passwords, one-time passcodes, full payment-card credentials, or sensitive information through a general enquiry form unless Softnex has specifically requested it through an appropriate secure process. See our Privacy Policy for more detail about collection, use, retention, sharing, and privacy requests.
15. Sales partners and referrals
A referral or introduction does not by itself authorise a person to act for Softnex or create a commission entitlement. An approved sales partner's eligibility, conduct, lead attribution, commission, confidentiality, and termination are governed by the separate Partner Terms and any accepted written partner-specific agreement.
Clients must make payments only through an official Softnex-designated payment method, not to a partner's personal account. A partner may bind Softnex or make commitments for the Company only to the extent expressly authorised in writing. Project scope, prices, delivery, refunds, and client rights remain governed by the accepted Project Agreement, these client Terms, and applicable law.
16. Website content and availability
We aim to keep website content useful and accurate, but descriptions, demonstrations, service listings, and other information may be changed, corrected, suspended, or removed. The website is provided for general information and does not replace a project-specific written agreement.
We do not guarantee that the website will always be available, error-free, or compatible with every device or browser. You must not interfere with the website's security or operation, attempt unauthorised access, upload malicious code, or scrape or misuse information in violation of law.
17. Warranties and disclaimers
Softnex will perform the services described in the accepted Project Agreement with reasonable care and skill and will honour express written warranties or defect-correction commitments that it has accepted. Unless expressly promised in writing, Softnex does not guarantee a particular revenue figure, sales outcome, search ranking, advertising performance, audience growth, app-store approval, or business result.
General information and any website previews are provided for informational purposes and may not reflect the final configuration of a project. Nothing in these Terms excludes a warranty, statutory protection, or remedy that applicable law does not permit the parties to exclude.
18. Limitation of liability
To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect or consequential loss, loss of anticipated profits, or loss of business opportunity arising from a project. This provision does not apply to the extent such liability cannot lawfully be excluded.
To the maximum extent permitted by law, Softnex's total liability for a claim arising from a particular project will not exceed the project fees paid or payable under the affected Project Agreement. This limitation does not apply to the extent prohibited by law and does not limit the express 100% refund commitment in Section 8 where that commitment applies. Nothing in this section limits mandatory consumer remedies or liability that cannot legally be limited.
19. Pausing work and termination
Either party may end a project in accordance with the Project Agreement and applicable law. Softnex may pause affected work after notice where payment is overdue, required information is not supplied, access needed for delivery is unavailable, or continuing would create a material legal, security, or safety risk. Where practicable, Softnex will explain the issue and what is required to resume work.
On termination, the parties will determine what work has been completed, what deliverables are due, which payments remain outstanding, and whether any refund is payable under the Project Agreement, these Terms, or applicable law. Payment, confidentiality, intellectual property, and other provisions that by their nature should continue will survive to the extent necessary.
20. Events outside reasonable control
Neither party will be treated as having breached a delivery obligation solely because an event beyond its reasonable control prevents or materially delays performance, such as a natural disaster, widespread power or internet outage, war, civil disturbance, government action, epidemic, or major third-party platform failure. The affected party should notify the other when reasonably possible and take reasonable steps to reduce the impact.
The parties will discuss a revised schedule or another practical solution. This clause does not remove a refund, statutory remedy, or other right that applicable law requires in the circumstances.
21. Complaints, governing law, and disputes
If you have a concern about a quote, payment, delivery, or project, contact Softnex first with your name, project or invoice reference, a description of the issue, and the outcome you are seeking. Both parties should try in good faith to resolve the concern through written communication.
These Terms and the Project Agreement are governed by the laws of India, subject to mandatory legal protections. Any unresolved dispute may be brought before a court or competent forum that has jurisdiction under applicable law. Nothing in these Terms prevents a consumer from using a statutory complaint process or another non-waivable legal remedy.
22. Changes to these Terms
Softnex may update these Terms by publishing a revised version on this page and changing the "Last updated" date. Updates apply to website use after publication. They do not change the accepted price, scope, or refund terms of an existing Project Agreement unless the parties agree in writing or a change is required by law.
23. General provisions
If any provision is found invalid or unenforceable, the remaining provisions continue to the extent permitted by law. A failure to enforce a provision once does not waive the right to enforce it later. Nothing in these Terms creates an employment, partnership, or joint-venture relationship between Softnex and a client. Neither party may transfer contractual rights or obligations contrary to the Project Agreement or applicable law.
These Terms, the accepted Project Agreement, and written amendments form the agreement on their subject matter. If they conflict, the project-specific written agreement controls for that project-specific issue unless mandatory law requires otherwise.
24. Contact Softnex
